Terms of Engagement

Scope of Services
​AMACON B.V., trading as AMACON Lead, provides strategic advisory, executive sparring, mentoring, and related professional services.

Services are advisory in nature and may include strategic analysis, governance reflection, commercial architecture design, investor readiness preparation, cross-border positioning, and executive-level sparring.

The exact scope of services is defined in individual proposals, engagement letters, or written agreements between AMACON Lead and the client.

Advisory Nature of Services

All services provided are advisory. AMACON Lead provides professional insight, strategic input, and structured reflection. Final decisions remain solely with the client.

No guarantees are made regarding specific business, financial, regulatory, or strategic outcomes.

Client Responsibility

The client remains fully responsible for:

• All strategic, financial, and operational decisions

• Implementation of recommendations

• Compliance with applicable laws and regulations

AMACON Lead does not act as a legal, tax, or regulated financial advisor unless explicitly agreed in writing.

Fees and Payment

Fees are defined in the respective proposal or engagement agreement.

Invoices are payable within 14 days of issuance unless otherwise agreed in writing.

Late payments may be subject to statutory interest in accordance with Dutch law.

Expenses reasonably incurred in connection with the engagement may be invoiced separately if agreed in advance.

Confidentiality

Both parties agree to treat confidential information disclosed during the engagement as strictly confidential.

Confidential information shall not be disclosed to third parties without prior written consent, unless required by law.

This obligation continues after termination of the engagement.

Separate Non-Disclosure Agreements may apply where required.

Intellectual Property

All methodologies, frameworks, materials, models, and tools developed or used by AMACON Lead remain the intellectual property of AMACON Lead unless otherwise agreed in writing.

Clients receive a non-exclusive, non-transferable right to use deliverables for internal business purposes.

Limitation of Liability

To the maximum extent permitted by law, the total liability of AMACON Lead arising out of or in connection with an engagement shall be limited to the total fees paid by the client for the specific engagement.

AMACON Lead shall not be liable for indirect, incidental, consequential, or loss-of-profit damages.

Nothing in these terms excludes liability where exclusion is not permitted under Dutch law.

Termination

Either party may terminate an engagement in writing.

Unless otherwise agreed, services performed up to the termination date remain payable.

Termination does not affect confidentiality or intellectual property clauses.

Force Majeure

AMACON Lead shall not be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural events, governmental measures, or technical disruptions.

Governing Law and Jurisdiction

These Terms of Engagement are governed by the laws of the Netherlands.

Any disputes arising out of or in connection with these terms shall be submitted to the competent court in the Netherlands.

Amendments

AMACON Lead reserves the right to update these Terms of Engagement. The version applicable to an engagement is the version in force at the time the engagement is agreed.
